Abstract

The paper concerns on application of board as an internal mechanism of corporate government at the Russian enterprises. There analysis of the structure and functions of boards is presented. Russian practice demonstrates growth of demand for effectively working boards in conditions of the concentrated external ownership. The data base was made with the given interviews of 100 Ural open joint-stock companies. The agency nature of board and specificity of functioning of board in the companies with a state ownership are revealed in paper.
